Corporate Associate - Tax

UB Greensfelder currently has an opening for an associate attorney in the Business Services Practice Group to work in our St. Louis office, primarily on corporate transactions, particularly those related to tax matters.

UB Greensfelder currently has an opening for an associate attorney in the Business Services Practice Group to work in our St. Louis office, primarily on corporate transactions, particularly those related to tax matters. Missouri law license required.

Qualified Applicants Will Have:

• CPA, accounting and/or finance background strongly preferred.
• 3+ years of experience negotiating and drafting primary and ancillary documents for mergers, acquisitions, divestitures, joint ventures, credit facilities and other corporate transactions.
• A broad knowledge and deep understanding of general corporate law, as well as tax and accounting principles.
• Experience participating in due diligence for both targets and acquirers, transaction and entity structuring, and related tax matters.
• Experience representing issuers in private placements of equity securities and underwriters in securities offerings; securities reporting compliance and representing of borrowers in the procurement of senior and mezzanine credit facilities.
• Superior written and verbal communication skills are required.
• Excellent analytical/problem solving skills and attention to detail.
• Outstanding organizational and time management skills with ability to meet deadlines in fast-paced environment.
