Duties and Accountabilities Advise and represent clients on complex Energy Infrastructure Projects and Asset Finance (EIPAF) transactions, including development, financing, restructuring and investments in, renewable and conventional energy power plants, battery storage projects, steel mills, and manufacturing projects.Draft, negotiate and review corporate legal documentation, including commitment letters, term sheets, credit agreements, security documents, sponsor guarantees, tax equity documents, share purchase agreements, joint venture agreements, equity contribution agreements, operation and maintenance agreements, power purchase agreements, construction and asset management agreements for EIPAF transactions.Lead client calls in negotiating key deal documents and manage transactions from start to close (including by coordinating work with various subject matter experts within W&C and technical and other project consultants externally).Mentor and train junior team members in deal management and contract negotiations as part of project development, financings and investments in the power, oil and gas, metals, and manufacturing industries.Prepare and take part in client pitches related to development, financing, and acquisition of power, oil and gas, metals, and manufacturing projects.Conduct legal due diligence as part of development, financing and acquisition of power, oil and gas, metals, and manufacturing projects.Research laws, documents, opinions and other information related to the power, oil & gas, metals, and manufacturing industries to respond to client needs and mitigate various project development, financing, acquisition and operational risks.Use strong communication skills (verbal and written) to liaise with clients across jurisdictions, opposing counsels, senior colleagues and other stakeholders on legal strategy and document negotiations.Discuss case management and procedural requirements with partners and associates.Salary Range: $310,000 - $390,000/year.
Qualifications J.D or U.S. equivalent in law plus 3 years of professional experience as Attorney, Associate, Law Clerk, or related occupation/position/job title involving law.In lieu of an J.D. plus 3 years of professional experience, employer will accept a LL.M. or U.S. equivalent in law plus 3 years of professional experience as Attorney, Associate, Law Clerk, or related occupation/position/job title involving law.Must also have experience with the following special skills: 3 years of professional experience at a law firm providing project financing, acquisition and development legal advice to domestic and international clients within the power, oil and gas, metals and manufacturing industries, with a focus on energy transition work; 3 years of professional experience drafting, negotiating, and reviewing documentation related to project financing, acquisition and development, including commitment letters, term sheets, credit agreements, security documents, sponsor guarantees, tax equity documents, share purchase agreements, joint venture agreements, equity contribution agreements, operation and maintenance agreements, power purchase agreements, construction and asset management agreements, and due diligence memoranda analyzing these documents; 3 years of professional experience working on cross-border transactions in power, metals, and manufacturing industries; 3 years of professional experience performing deal management and contract negotiations as part of project financings and investments in the power, metals, and manufacturing industries; 3 years of professional experience analyzing project development, project finance and project investment documents, including the related credit agreements, joint venture agreements, security agreements, equity contribution agreements and shareholder agreements; 3 years of professional experience working on energy transition transactions, including advising clients on loans and other forms of financial assistance provided by federal agencies; and 3 years of professional experience with application and interpretation of Bipartisan Infrastructure Law and the Inflation Reduction Act in energy-transition transactions.Must be admitted to the New York State Bar. Location & Reporting Telecommuting may be permitted up to 2 days per week. When not telecommuting, must report to White & Case, 1221 Avenue of the Americas New York, NY, 10020.
