Our client is seeking an experienced and dynamic attorney within their Bank Regulatory and Transactional Practice Group. This is an exciting opportunity for a candidate with at least 6 years of experience in transactional banking law with working knowledge of IPOs, mergers, asset sales, private placements, and banking regulations. This candidate must be able to act as a lead on transactions and work with other attorneys in various aspects of due diligence, negotiation and document drafting. Some Washington agency experience is welcomed but is not required. This position is based in our Washington, D.C. office.

Essential Functions

  • Advising board of directors on corporate governance matters
  • Provide thorough factual and legal research and analysis.
  • Draft necessary agreements and documents with efficiency and clarity.
  • Manage projects from commencement to closing.
  • Competently and professionally communicate with clients and supervising attorneys; and
  • Complete tasks efficiently.

Knowledge, Skills, and Abilities Required:

  • Working knowledge on the Federal Reserve Boards Bank Holding Company Rules, the FDICs Issuance of Accounts Regulations, OCC.
  • powers and de novo chartering regulations.
  • Peripheral knowledge of CFPB guidance and rules as they apply to banks.
  • Ability to draft corporate government documents and to negotiate and draft merger agreements.
  • Ability to analyze banking rules and policies.
  • Ability to draft securities filings.
  • Must have a general familiarity with corporate accounting reporting and standards that apply to banking organizations.
  • Must have a thorough understanding of the interplay between State and Federal Banking Laws, specifically with respect to the preemption of the State laws.
  • Ability to communicate effectively orally and in writing.
  • Ability to work effectively under pressure and to meet deadlines.
  • Strong organization and matter management skills.
  • Ability to work professionally and effectively with Clients, Partners, Associate and Support Staff.
  • Ability to work effectively with others as part of a team.
  • Clear and effective drafting skills.
  • Exceptional project management skills.

BENEFITS:

The expected base salary range for Washington D.C. based candidates in this position is $310,000 - $345,000. Actual base salary will be determined by several components including but not limited to the individuals class year, years of experience, skills, qualifications, office location and anticipated annual billable hour targets (1850 hours annually versus 1950 annually).
