Overview

Cleary Gottlieb is seeking a full-time corporate paralegal to provide broad, responsive, and efficient support to our corporate practice groups. This position is based in the Washington, D.C. office. Under the direction of partners, associates, and senior paralegals, and under the general supervision of the Senior Practice Manager, our paralegals assist with all aspects of client and case support on a variety of innovative, complex, and often highly visible matters. Successful candidates will have superior organizational and time management skills; effective problem-solving skills; a positive, professional demeanor; and a strong client service focus.

Position: Nonexempt

Regular Hours: 9:30 a.m. to 5:30 p.m.

Reports to: Senior Practice Manager

Responsibilities

  • Take responsibility of general corporate housekeeping and corporate recordkeeping matters
  • Assist attorneys with all document preparation, including but not limited to: ancillary documents, notes, checklists, receipts, closing memoranda, indices, correspondence, charts, resolutions
  • Prepare and distribute signature pages
  • Apprise attorneys of document and signature page status in preparation for closing
  • Assist attorneys with incorporation/formation of new entities (including corporations, LLCs and LPs), dissolution of entities and amendments to corporate documents
  • Review, track, and monitor corporate deal documentation
  • Manage, organize, and maintain documents in paper or electronic filing systems
  • Upload legal documents into document management systems
  • Prepare for, manage and attend corporate closings
  • Arrange for delivery of letters to the DTC
  • Order various corporate certificates and charter documents and effect lien searches
  • Create and distribute closing sets
  • Maintain strong, courteous work relationships with various parties to a transaction, including clients
  • Assist with timely SEC Filings
  • Perform timely and accurate maintenance of deal files pursuant to Firms document retention policy
  • Respond to requests for information
  • Assist other practice groups; other tasks as assigned or required

Qualifications

  • Bachelors degree with a 3.4 GPA
  • Flexibility to work outside regular business hours, including early mornings, evenings, and weekends as needed
  • Ability to manage multiple tasks, deliver results, and maintain quality while working under pressure in a fast-paced, deadline driven environment
  • Ability to work effectively on own initiative and in collaboration with others
  • Ability to exercise discretion and maintain confidentiality of sensitive information
  • Demonstrated proficiency and experience with broad range of computer software including Microsoft Word, Excel, and PowerPoint
  • Strong research skills and excellent oral and written communication skills
  • Foreign language skills are a plus
